MACHALLY specializes in precision machining tools and equipment across the following categories:

  • Tool Holding Solutions: Collets, chucks, holders, and related accessories
  • Work Holding Systems: Vises, clamps, fixtures, and workholding devices
  • Cutting Tools: End mills, drills, inserts, and cutting implements
  • Measuring Tools: Precision instruments, gauges, and measurement devices
  • Machine Accessories: Coolant systems, tooling cabinets, and related equipment

Product Information

We strive to provide accurate product descriptions, specifications, and images. However, we do not warrant that product descriptions or other content on our Site is error-free, complete, or current. Products may vary slightly from their descriptions due to manufacturing tolerances or continuous improvement processes.

Custom Products

MACHALLY offers custom manufacturing services for specialized machining tools. Custom orders are subject to additional terms including design approval, lead times, and payment schedules that will be specified in separate purchase agreements.

3. Ordering and Acceptance

Order Process

Orders may be placed through our website, by telephone, email, or through authorized representatives. All orders are subject to acceptance by MACHALLY. We reserve the right to refuse or cancel any order for any reason, including but not limited to:

  • Pricing or product information errors
  • Credit or fraud concerns
  • Failure to meet minimum order requirements
  • Export control or legal restrictions

Order Confirmation

A binding contract is formed when we send you an order confirmation. Order confirmations will include product details, quantities, pricing, and terms of sale.

Business Customers

Business customers may be required to complete additional verification processes including credit checks, business registration verification, and approval workflows. Certain payment terms and bulk pricing may only be available to verified business customers.

4. Pricing and Payment

Pricing

All prices are stated in the currency indicated on our website and are subject to change without notice. Prices exclude applicable taxes, duties, and shipping costs unless otherwise specified. For business customers, special pricing agreements may apply.

Product Warranties

MACHALLY warrants that products will be free from defects in materials and workmanship under normal use for the period specified in product documentation. This warranty does not cover:

  • Misuse, abuse, or improper application
  • Damage from accidents, modifications, or unauthorized repairs
  • Products used beyond their specified parameters

Limitation of Warranties

EXCEPT AS EXPRESSLY STATED HEREIN, ALL PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Technical Support and Consultation

MACHALLY provides technical support and application consultation for our products. While we strive to provide accurate guidance, customers are responsible for determining the suitability of products for their specific applications. Technical recommendations are provided as guidance only and do not constitute warranties or guarantees of performance.

8. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, software, and technical specifications, is owned by MACHALLY or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Export Controls and Compliance

Precision machining tools and equipment may be subject to export control regulations. Customers are responsible for compliance with all applicable export/import laws and regulations in their jurisdiction. MACHALLY reserves the right to restrict or refuse sales to certain countries or entities based on applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACHALLY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL MACHALLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless MACHALLY and its affiliates, officers, employees, and agents from any claims, damages, or expenses arising from your use of our products, violation of these Terms, or infringement of any third-party rights.

12. Force Majeure

MACHALLY shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or supply chain disruptions.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in Wilmington, Delaware, USA, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class action, consolidated action, or representative action.

14. Modifications and Termination

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or by email to registered customers. Continued use of our services after such modifications constitutes acceptance of the revised Terms.

Termination

We may terminate or suspend your access to our services at any time for violation of these Terms or for any other reason. Upon termination, your right to use our services ceases immediately.
